Acceptance of Terms & Statutory Electronic Record

Welcome to Seven Connect (sevenconnect.in), an electronic marketplace and IT commerce platform operated by Seven Connect ("Seven Connect", "we", "us", or "our").
This document is an electronic record published in strict compliance with the provisions of Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and Section 63 of the Bharatiya Sakshya Adhiniyam (BSA), 2023. This electronic agreement is generated by a computer system and does not require any physical or digital signatures.
By accessing, browsing, registering on, or transacting through Seven Connect or any of its partner subdomains, you ("User", "Buyer", "Vendor", "Reseller", or "Distributor") agree to be unconditionally bound by these Terms & Conditions and our Privacy Policy. If you do not agree with any portion of these Terms, you must immediately discontinue use of the platform.

Territorial Scope & Regional Eligibility (North-East India Only)

Seven Connect operates as a specialized regional technology commerce network focused on and restricted to North-East India.
Commercial product availability, customized PC and CCTV configurations, dealer quotations, store pickups, and merchant dispatches are intended solely for transactions originating within or delivered to serviceable pin codes across North-East India.
Persons registering as buyers, resellers, vendors, or distributors from outside North-East India acknowledge that fulfillment, warranty inspections, and physical store interactions are bounded by regional availability.

Description of Service & Intermediary Safe Harbor Status

Seven Connect provides an electronic commerce marketplace enabling buyers (consumers and enterprises) to discover local IT hardware, laptops, desktops, surveillance gear, and accessories, configure custom rigs, and obtain direct quotations from authorized local merchants.
Statutory Intermediary Role: In accordance with Section 79 of the Information Technology Act, 2000, Seven Connect operates as an electronic intermediary connecting buyers with independent third-party vendors, local resellers, and regional distributors.
Bipartite Contract of Sale: Seven Connect is not a manufacturer, seller, or direct stockist of physical hardware. Any purchase agreement, sale contract, delivery commitment, or commercial terms (including pricing, GST invoicing, shipping, warranties, cancellations, replacements, refunds, and after-sales support) is strictly a bipartite contract entered into solely between the Buyer and the respective Supplying Merchant (Vendor, Reseller, or Distributor).
Sole Reseller Responsibility for Cancellations, Replacements & Refunds: Seven Connect DOES NOT manage, process, approve, or execute order cancellations, product returns, DOA replacements, or monetary refunds for physical hardware. All cancellations, returns, replacements, and refunds are managed and executed exclusively by the independent supplying Reseller who invoiced the order. Seven Connect does not collect or hold transaction funds for physical hardware transactions and will not disburse hardware refunds.
Seven Connect does not at any point gain title to, hold possession of, or assume liability for the products or services negotiated or fulfilled through independent local dealers.

Platform Operating Model: Direct 1-to-1 Reseller Connection (No Lead Broadcasting)

Strictly No Multi-Lead Broadcasting: Unlike open business directories or multi-vendor lead aggregator portals that collect a user inquiry and broadcast or sell it simultaneously to multiple competing merchants, Seven Connect operates exclusively on a direct 1-to-1 Reseller Connection model.
User-Selected Reseller Contact: Buyers browse local verified IT products, customized PC builds, CCTV packages, or dealer showrooms, and affirmatively choose to contact ONE respective local Reseller.
Exclusive Direct Lead Routing: When a customer submits an inquiry, quotation request, or callback, that inquiry is transmitted exclusively and solely to the specific respective Reseller chosen by the buyer. No shared multi-vendor leads are generated, and customer contact information is NEVER auctioned, broadcast, or distributed to multiple dealers.
Reseller Outreach & Follow-Up Workflow: Upon receiving the user's direct inquiry, the respective Reseller contacts the buyer directly (via telephone call, WhatsApp message, or official store email) to:
(a) Confirm on-ground component availability, live market pricing, and official GST quotations;
(b) Discuss technical requirements, component compatibility, and custom assembly or installation specifications;
(c) Issue the official GST tax invoice and agree on payment modes; and
(d) Coordinate fulfillment, whether through direct regional courier dispatch or local store pickup ("Click & Collect") at the dealer's physical outlet in North-East India.
Direct Bipartite Communication: All subsequent communications, negotiations, commercial pricing agreements, hardware handover, cancellations, replacements, and after-sales support are conducted directly between the buyer and that chosen respective Reseller.

User Accounts, Verification & Acceptable Use

Eligibility: Usage of the platform is available only to persons who can form legally binding contracts under the Indian Contract Act, 1872. Minors under 18 years may transact only through parental or guardian supervision.
Account Confidentiality: You are solely responsible for maintaining the confidentiality of your credentials, password, and registered phone number, and for all activities conducted under your account.
Truthful Representation: Users agree to provide true, accurate, and current information during quotation requests, PC configurations, and checkouts. Submitting fictitious, misleading, or fraudulent inquiries is strictly prohibited.

Terms for Local Vendors and Resellers

Onboarding & KYC: Vendors and Resellers must complete mandatory business verification by submitting valid trade documents, including GSTIN certificate, PAN, trade license, store address proof, and authorized brand dealership credentials.
Genuine Hardware Guarantee: All merchants listing IT hardware, CCTV cameras, computers, or peripherals on Seven Connect represent and warrant that all items are 100% genuine, brand-new, factory-sealed units sourced through authorized distribution channels. Supplying counterfeit, refurbished, stolen, or grey-market goods is strictly forbidden and constitutes grounds for immediate deregistration, forfeiture of platform fees, and statutory reporting to law enforcement authorities.
Price Integrity: Merchants agree to honor quotes provided to customers and clearly indicate applicable GST rates and delivery charges prior to order finalization.
Reseller Management of Cancellations, Replacements & Refunds: Resellers and Vendors acknowledge and agree that they bear sole, exclusive responsibility for managing, approving, and executing all order cancellations, return requests, DOA assessments, physical replacements, and monetary refunds for hardware sold through their store. Resellers acknowledge that Seven Connect has no liability, operational role, or financial custody in managing or disbursing refunds or replacement units.
Exclusive Lead Handling Obligation: Resellers agree that buyer inquiries received through Seven Connect are direct, confidential communications. Resellers are strictly prohibited from reselling, sharing, or leaking buyer contact information to third parties or using it for unauthorized spam telemarketing.

Terms for Regional Distributors

Regional Scope: Distributors on Seven Connect operate as wholesale and primary supply partners serving verified resellers and retail vendors across the North-East region.
Inventory & Supply Chain Accuracy: Distributors agree to maintain realistic stock visibility and dispatch schedules for affiliated resellers.
Compliance with Trade Laws: Distributors warrant that all goods handled comply with Bureau of Indian Standards (BIS) norms, legal metrology guidelines, and official manufacturer import/distribution agreements.

Reseller & Distributor Subscriptions, Platform Fees & Strict Non-Refundability

B2B Platform Subscriptions: Resellers and Distributors subscribe to specialized platform service tiers to access digital features, including merchant catalog hosting, verified dealer badges, direct buyer lead dispatch, quoting configurators, and regional dealer network privileges.
Immediate Activation of Digital Services: Reseller and Distributor subscriptions constitute digital business-to-business (B2B) services that are activated immediately upon payment and KYC approval.
100% Non-Refundable Subscription Fees: All onboarding fees, listing charges, verification fees, monthly/quarterly/annual subscription fees, and renewal charges paid by Resellers or Distributors are strictly 100% NON-REFUNDABLE under any circumstances.
No Prorated Refunds: In the event of voluntary account closure, early termination, business cessation, or administrative deactivation resulting from counterfeit listings or breach of these Terms, no pro-rata refund of any subscription fee shall be granted.

Pricing, Stock Quotations & Inaccuracies Disclaimer

Merchant Determined Pricing: Prices displayed on Seven Connect or provided via quotation builders are determined by the independent supplying store partners, resellers, or distributors.
Real-time Fluctuations: Technology hardware pricing (including GPUs, RAM, CPUs, and storage) is volatile and subject to market fluctuations. Displayed estimates do not constitute a perpetual offer and must be reconfirmed at invoice issuance.
Clerical or Typographical Errors: While Seven Connect endeavors to maintain catalog accuracy, technical glitches or typographical errors may occasionally occur. Supplying merchants reserve the right to cancel or amend orders where pricing was erroneously listed.

Brand Warranties vs. Platform Warranty Disclaimer

OEM Brand Warranty: All IT hardware, electronics, laptops, desktops, and CCTV systems sold through the network carry the official manufacturer warranty provided directly by original equipment manufacturers (OEMs such as HP, Dell, Lenovo, Asus, Acer, CP Plus, Hikvision, Western Digital, Seagate, etc.).
Service Centers in North-East India: Warranty claims, component replacements, on-site service, and technical repairs are honored through the manufacturer's authorized service centers located across Guwahati and regional North-East hubs.
Exclusion of Platform Warranty: Seven Connect does not provide an independent, direct warranty on physical third-party hardware. Seven Connect is not liable for manufacturer warranty rejections resulting from accidental physical damage, liquid ingress, unauthorized tampering, or serial number mismatch.

Intellectual Property Rights & Content Usage

Proprietary Assets: The Seven Connect brand name, logo, domain (sevenconnect.in), website design, custom PC builder software, CCTV configurator logic, code, graphics, and compilation are the exclusive intellectual property of Seven Connect.
Third-Party Trademarks: Brand names, logos, and trademarks of OEMs (HP, Dell, Intel, AMD, Nvidia, Hikvision, etc.) displayed on the platform are the property of their respective trademark holders and are utilized solely for identification and compatibility references.
User Submissions: By posting reviews, ratings, or feedback, you grant Seven Connect a royalty-free, perpetual license to use, display, and publish such comments to assist regional buyers.

Prohibited Conduct & System Security

You agree not to engage in unauthorized data scraping, crawling, spidering, automated querying, or extraction of merchant catalogs or pricing data.
You agree not to transmit any computer viruses, worms, malware, or destructive code designed to disrupt the platform infrastructure.
You shall not upload, transmit, or share any synthetically generated information (SGI), deceptive materials, defamatory comments, or content violating the Information Technology Act, 2000.

Limitation of Liability & As-Is Platform Disclaimer

"As-Is" Provision: The platform and all features are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, statutory, or otherwise.
Exclusion of Consequential Damages: Under no circumstances shall Seven Connect, or its proprietors, officers, or employees be liable for any indirect, incidental, punitive, special, or consequential damages, including loss of business profits, data corruption, commercial disruption, or failed dealer transactions.
Maximum Liability Cap: To the fullest extent permitted by applicable Indian law, Seven Connect's aggregate liability for any dispute arising under these Terms shall not exceed the subscription fees paid by you to Seven Connect in the three (3) months preceding the incident, or INR 1,000 (whichever is lower).

Indemnification

You agree to defend, indemnify, and hold harmless Seven Connect, its affiliates, officers, and employees against any and all claims, demands, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of:
Your breach or violation of any provision of these Terms & Conditions or our Privacy Policy;
Any claim that content, catalog data, or hardware provided by you infringes any copyright, trademark, patent, or intellectual property right of any third party;
Any tax default, GST invoice non-compliance, defective item dispatch, or non-delivery attributed to your merchant operations.

Pre-Litigation Disclosure & Amicable Settlement Procedure

In the event of any dispute, disagreement, controversy, or claim arising out of or related to platform usage, merchant listings, subscription charges, or services, the aggrieved party must first submit a formal written "Notice of Dispute & Disclosure" to sevenconnect2026@gmail.com setting forth the complete factual disclosure, transaction records, and requested remedy.
Mandatory 30-Day Disclosure Period: The parties mutually agree to enter a good-faith 30-day amicable disclosure and settlement period to inspect records, negotiate, and endeavor to resolve the dispute amicably before initiating formal legal proceedings.

Arbitration, Governing Law & Jurisdiction

Governing Law: These Terms shall be governed by, interpreted, and construed in accordance with the substantive laws of the Republic of India.
Sole Arbitration: If any dispute remains unresolved upon the expiration of the 30-day pre-litigation settlement period, it shall be finally settled by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English by a sole arbitrator appointed by Seven Connect. The seat and venue of arbitration shall be Guwahati, Assam, India.
Exclusive Court Jurisdiction: Subject to the arbitration clause, the competent courts situated in Guwahati, Assam shall retain exclusive jurisdiction over all proceedings arising out of or in connection with these Terms.

Severability & Entire Agreement

If any provision of these Terms is deemed unlawful, void, or unenforceable by an arbitrator or court of competent jurisdiction, that provision shall be severed without affecting the validity and enforceability of the remaining provisions.
These Terms & Conditions, together with our Privacy Policy, Shipping Policy, and Cancellation & Refund Policy, constitute the entire agreement between the user and Seven Connect regarding platform services.
